Business Terms of Service

These Business Terms of Service ("Agreement") govern your access to and use of Mojo Verify's identity verification and fraud prevention services as a Business Customer. By creating an account, accessing the API, or using the portal, you agree to be bound by this Agreement on behalf of yourself and your organization.

Please read this Agreement carefully before using the Service.

1. Definitions

The following terms have the meanings set forth below throughout this Agreement:

  • "Mojo Verify," "we," "us," or "our" means the company operating the Mojo Verify platform and the identity verification services described herein.
  • "Service" means the Mojo Verify identity verification and fraud prevention platform, including the web portal, REST API, mobile SDK, AI-powered confidence scoring, and all associated documentation, integrations, and support.
  • "Business Customer," "you," or "your" means the company or individual that has registered for or is accessing the Service for business purposes—including running identity checks on their own end users or customers.
  • "End User" means a natural person whose identity information is submitted to the Service by you or on your behalf.
  • "Verification" means any identity, fraud, or compliance check performed through the Service, including but not limited to government ID validation, liveness checks, phone or email verification, SSN lookup, OFAC/sanctions screening, and adverse media analysis.
  • "Results" means the output returned by the Service for a given Verification request, including confidence scores, pass/fail indicators, and AI-generated analysis. Results are informational and are not guaranteed to be error-free.
  • "Partner" refers to a third-party website or application that uses Mojo Verify's "Sign in with Mojo Verify" integration. This definition is relevant only when you operate as a Partner; it does not apply unless separately agreed.
  • "API Key" means the unique credential issued to you to authenticate programmatic requests to the Service.

2. Service Description

2.1 What Mojo Verify Provides

The Service enables Business Customers to perform identity and fraud checks on their End Users. Core capabilities include:

  • Government-issued ID capture and validation
  • Liveness detection and biometric comparison
  • Phone and email verification via OTP or lookup
  • SSN verification using third-party data sources
  • OFAC/sanctions and gaming exclusion screening
  • Adverse media screening using AI analysis
  • IP geolocation and device risk scoring
  • AI-powered confidence scores generated by a private LLM
  • Custom data capture fields

2.2 Third-Party Data Sources and AI

Mojo Verify relies on third-party data providers to fulfil certain checks. We also use automated tools and AI/LLM-powered analysis to generate confidence scores and risk indicators. Results reflect data available at the time of the check and may not reflect subsequent changes. We are not responsible for inaccuracies in third-party source data.

2.3 Not a Consumer Reporting Agency

Mojo Verify is not a consumer reporting agency as defined by the Fair Credit Reporting Act ("FCRA"). Results are not "consumer reports" under the FCRA. You may not use Results for FCRA-regulated purposes—including credit, employment, insurance, housing, or tenant screening decisions—unless you have separately confirmed with legal counsel that your use is FCRA-compliant. Any such use is entirely at your own risk and responsibility.

2.4 Access Methods

The Service is accessible via:

  • Web Portal: Browser-based interface for manual checks
  • REST API: Programmatic access for integration
  • Mobile SDK/App: Government ID capture (where applicable)

3. Account and Security

3.1 Account Creation

To use the Service, you must:

  • Be at least 18 years of age and have authority to bind your organization
  • Provide accurate, current, and complete registration information
  • Maintain and promptly update your information as needed

3.2 API Keys and Credentials

You are responsible for maintaining the confidentiality of your API Keys and login credentials. You must not share API Keys across multiple organizations or disclose them to unauthorized parties. You must notify us immediately at support@mojoverify.com upon discovering any unauthorized use of or access to your account.

3.3 Account Security Responsibilities

You are responsible for all activity that occurs under your account, whether authorized by you or not, until you notify us of unauthorized access and we take reasonable steps to address it.

3.4 Rate Limiting

We may impose rate limits on API requests to maintain Service quality and prevent abuse. Current rate limits are documented in our API documentation. Repeated violations may result in temporary or permanent account suspension.

4. Pricing and Billing

4.1 Pricing

Fees are charged per Verification on a pay-as-you-go basis unless you have entered into an enterprise order form specifying different terms. Current pricing is posted at mojoverify.com/#pricing or as set forth in your applicable order form or purchase agreement. We reserve the right to update posted pricing with reasonable notice.

4.2 Billing Cycle

  • Charges are billed monthly in arrears based on actual usage
  • Invoices are sent by email to your registered billing address
  • Payment is due within 15 days of invoice date
  • We accept credit card, ACH, and wire transfer

4.3 Non-Refundable Checks

Verification checks are processed upon receipt and the associated costs are incurred at that point. Fees are non-refundable except in cases of a documented Service error or verified overcharging.

4.4 Taxes

Fees do not include applicable taxes. You are responsible for all sales, use, value-added, and other taxes arising from your use of the Service, except for taxes based on Mojo Verify's net income.

4.5 Late Payments

Unpaid invoices may result in suspension or termination of your account. We reserve the right to charge interest on overdue amounts at the rate of 1.5% per month (or the maximum rate permitted by law, whichever is lower).

5. Acceptable Use

5.1 Permitted Uses

You may use the Service only for lawful business purposes, including:

  • KYC/AML compliance for your own customers
  • Fraud prevention and risk assessment
  • Age verification for regulated industries
  • Onboarding verification for financial, healthcare, or other regulated services

5.2 Prohibited Uses

You may NOT use the Service to:

  • ❌ Violate any applicable law, regulation, or third-party rights
  • ❌ Discriminate against individuals based on race, color, national origin, sex, disability, religion, or other protected characteristics
  • ❌ Make credit, employment, insurance, housing, or tenant decisions unless you are FCRA-compliant and have assumed full legal responsibility for such use
  • ❌ Harass, stalk, surveil, or otherwise harm individuals
  • ❌ Resell, sublicense, or white-label the Service without our prior written consent
  • ❌ Reverse engineer, decompile, or attempt to derive source code from the Service
  • ❌ Scrape, crawl, or perform non-API automated access to our systems
  • ❌ Submit fabricated, synthetic, or fraudulent End User data
  • ❌ Overload, disrupt, or conduct denial-of-service attacks against the Service
  • ❌ Use the Service to facilitate spam, phishing, or unauthorized contact of individuals

5.3 Compliance Obligations

KYC/AML compliance remains your responsibility. The Service provides tools to assist compliance programs but does not constitute a complete compliance solution. You must independently ensure your use of Results satisfies all applicable legal and regulatory requirements.

6. Data Processing and Privacy

6.1 Your Data; Mojo Verify as Service Provider

You retain ownership of all End User data you submit to the Service. Mojo Verify processes that data solely to provide the Service to you. In the context of applicable privacy laws, Mojo Verify acts as a service provider or data processor on your behalf with respect to End User data submitted through your account.

6.2 Your End User Consent Obligations

You are solely responsible for obtaining all necessary notices, consents, and authorizations from End Users before submitting their personal data to the Service. This includes, without limitation:

  • Consent for identity verification and data processing
  • Consent to receive transactional SMS messages, if your integration triggers SMS
  • Biometric information consent where liveness or facial comparison checks are requested
  • Any other consent required by applicable law in the End User's jurisdiction

If you trigger SMS messages to End Users via the Service, you represent and warrant that each End User has provided express written consent to receive those messages consistent with all applicable laws including the TCPA.

6.3 Retention and Audit Logs

Mojo Verify retains verification records, audit logs, and consent records as required by applicable law and for fraud prevention purposes. We may retain certain data for up to seven (7) years to meet regulatory compliance requirements.

6.4 Subprocessors

Mojo Verify uses third-party subprocessors (including cloud infrastructure providers, identity data sources, and communication services) to operate the Service. These subprocessors are contractually bound to protect data and may only process data to provide services to Mojo Verify.

6.5 No Sale or Marketing Use of Data

Mojo Verify will not sell End User personal data to third parties. Mojo Verify will not use mobile opt-in data (phone numbers collected through SMS consent flows) for marketing purposes. End User data is processed solely to provide the Service.

6.6 Security

Mojo Verify implements industry-standard security measures including encryption in transit (TLS 1.3) and at rest (AES-256), role-based access controls, and continuous security monitoring. However, no system is perfectly secure. We disclaim liability for security incidents to the extent permitted by applicable law and subject to Section 8.

6.7 Privacy Policy

Mojo Verify's collection and use of data relating to your account and business contacts is described in our Privacy Policy, incorporated herein by reference.

7. SMS and Communication Terms

7.1 SMS Program Details

Program Name: Mojo Verify — Identity Verification (KYC) Messaging

Program Description: Mojo Verify sends transactional SMS messages to End Users solely to facilitate identity verification. Message types include one-time passcodes (OTP), verification status updates, and secure links to complete verification steps. Mojo Verify does not send marketing or promotional messages under this program.

Opt-In Method: End Users opt in via a Mojo Verify-hosted web form by entering their mobile number, reviewing the SMS disclosure, and checking an explicit SMS consent checkbox before submitting. The public opt-in page demonstrating this consent flow is available at:

Consent is not a condition of purchase. Where a Business Customer triggers SMS to End Users via the API, the Business Customer is responsible for ensuring appropriate End User consent has been obtained.

Message Frequency

Message frequency varies. Typically 1–5 messages per verification session; OTP codes generate 1–2 messages per request.

Opt-Out Keywords

End Users may reply with any of the following keywords to opt out of further messages: STOP, STOPALL, CANCEL, END, QUIT, UNSUBSCRIBE, REVOKE

Upon receiving an opt-out keyword, Mojo Verify will send a single confirmation message acknowledging the opt-out and will suppress all further messages to that number.

HELP Keyword

End Users may reply HELP to any message to receive support contact information. Mojo Verify's response will include the SMS support email address.

8. Disclaimers and Limitation of Liability

8.1 Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY OF RESULTS, OR NON-INFRINGEMENT. MOJO VERIFY DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR THAT ALL VERIFICATIONS WILL PRODUCE ACCURATE RESULTS. RESULTS ARE INFORMATIONAL AND DO NOT CONSTITUTE LEGAL OR COMPLIANCE ADVICE.

8.2 Third-Party Data

We rely on third-party data sources for certain checks. We are not responsible for errors, omissions, or delays in third-party data, nor for any decisions you make based on that data.

8.3 Exclusion of Consequential Damages

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, MOJO VERIFY SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR IN CONNECTION WITH THIS AGREEMENT OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

8.4 Liability Cap

MOJO VERIFY'S TOTAL AGGREGATE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU TO MOJO VERIFY IN THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Mojo Verify and its officers, directors, employees, and agents from and against any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising out of or relating to:

  • Your use of the Service in violation of this Agreement or applicable law
  • Your failure to obtain required End User consents or notices
  • Your violation of any third-party rights, including privacy rights
  • Any FCRA, TCPA, or other regulatory claim arising from your use of Results or your SMS messaging practices
  • Your decisions made based on Results provided by the Service

10. Intellectual Property

10.1 Mojo Verify's Rights

Mojo Verify retains all rights, title, and interest in and to the Service, including all underlying software, AI models, algorithms, APIs, trademarks, and documentation.

10.2 License to You

Subject to your compliance with this Agreement, Mojo Verify grants you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service solely for your internal business purposes during the Term.

10.3 Feedback

If you provide feedback or suggestions regarding the Service, Mojo Verify may use such feedback without restriction or compensation.

11. Term and Termination

11.1 Term

This Agreement is effective upon your acceptance and continues until terminated by either party as set forth herein.

11.2 Termination by You

You may terminate your account at any time by contacting support@mojoverify.com. You remain responsible for all fees incurred through the termination date.

11.3 Termination by Mojo Verify

Mojo Verify may terminate or suspend your account immediately, without notice, if you materially breach this Agreement, engage in fraudulent or illegal activity, or if we are required to do so by law. We may also terminate your account for convenience upon thirty (30) days' written notice.

11.4 Effect of Termination

Upon termination:

  • Your access to the Service will cease immediately
  • All outstanding fees become immediately due and payable
  • Mojo Verify may retain data as required by law or for fraud prevention
  • Sections 1, 6, 7, 8, 9, 10, 12, 13, and 14 survive termination

12. Changes to This Agreement

We may modify this Agreement at any time. If we make material changes, we will provide notice via email to your registered address or via prominent notice in the portal, and will update the "Last Updated" date. Continued use of the Service after the effective date of changes constitutes your acceptance. If you disagree with changes, you must stop using the Service and terminate your account.

13. General Provisions

13.1 Governing Law

This Agreement is governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.

13.2 Dispute Resolution and Arbitration

Any dispute, claim, or controversy arising out of or relating to this Agreement or the Service shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") under its Commercial Arbitration Rules, with arbitration seated in California. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Injunctive Relief Carve-Out: Notwithstanding the foregoing, either party may seek emergency injunctive or other equitable relief from a court of competent jurisdiction to prevent irreparable harm pending arbitration.

Class Action Waiver: All claims must be brought in an individual capacity, and not as a plaintiff or class member in any class or representative proceeding.

13.3 Assignment

You may not assign or transfer this Agreement or any rights hereunder without our prior written consent. Mojo Verify may assign this Agreement without restriction, including in connection with a merger, acquisition, or sale of assets. Any purported assignment in violation of this section is void.

13.4 Severability

If any provision of this Agreement is held to be invalid or unenforceable, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall continue in full force and effect.

13.5 No Waiver

Mojo Verify's failure to enforce any right or provision of this Agreement will not constitute a waiver of that right or provision.

13.6 Entire Agreement

This Agreement, together with any applicable order forms and the Privacy Policy, constitutes the entire agreement between you and Mojo Verify with respect to the Service and supersedes all prior or contemporaneous agreements on that subject.
